Focus Signs Letter of Intent to Acquire Sunbow Consulting

EDMONTON, ALBERTA-Focus is pleased to announce it has signed a letter of intent
to acquire Sunbow Consulting Ltd. (Sunbow).
Sunbow is an employee owned, professional service firm providing engineering and
legal survey services to the land development industry in the greater region of
Calgary, Alberta. Sunbow was established 30 years ago and is widely recognized
as one of the leading engineering firms in the Calgary land development market.
Sunbow has 70 employees; a solid client base and is currently working on
numerous land development projects in and around the Calgary area.
"We are very excited about adding Sunbow and gaining access to the robust
Calgary market which is considered to be one of the fastest growing urban
centres in North America," explains John Holmlund, Focus CEO & President.

In the next few months, Focus will be completing the necessary due diligence
aspects of the acquisition with the support of its equity partner, KRG Capital
Partners, a private equity firm based in Denver, Colorado. The Sunbow
acquisition is anticipated to close on October 31, 2006.
