Focus Signs Letter of Intent to Acquire DPH Engineering Inc.

EDMONTON, ALBERTA-Focus is pleased to announce it has signed a letter of intent to acquire DPH Engineering Inc. (DPH).

Based in Calgary, Alberta, DPH is a well established engineering, procurement and construction management (EPCM) company whose core business is the upstream oil and gas industry in Western Canada. DPH has 270 employees; large components of which are professional engineers and technical staff. Over the last 33 years, DPH has built a solid reputation as a key service provider to some of Canada's largest oil and gas producers and engineering, procurement and construction firms.

In the next few months, Focus will be completing the necessary due diligence aspects of the acquisition with the support of its equity partner, KRG Capital Partners, a private equity firm based in Denver, Colorado. The DPH acquisition is anticipated to close on October 31, 2006.
